Terms of Service

By accessing or using any service, product, or website operated by Syn Design Systems ("SDS", "we", "us", "our"), including syndesignsystems.com and any associated client portals, you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

These Terms apply alongside any signed Service Agreement entered into between you and SDS. In the event of a conflict, the executed Service Agreement controls with respect to the specific services it governs.

SDS provides web design, development, hosting, automation, and ongoing support services as described in your selected plan and any executed Service Agreement. Service scope, fees, and included allowances are defined per plan (Business Ignite and Business Dominate) and documented at syndesignsystems.com/pricing and in your signed agreement.

You are responsible for maintaining the security of your account credentials. SDS is not liable for any loss or damage arising from unauthorized access to your account. Notify us immediately at hello@syndesignsystems.com if you suspect unauthorized access.

Fees are charged via Stripe. By subscribing, you authorize SDS to charge the payment method on file for all applicable fees including: one-time setup fees, monthly subscription fees, overage billing at $20/hr for work exceeding included allowances, and any applicable third-party cost pass-throughs (AI token overages above $25/month and email overages above $15/month).

All fees are non-refundable except as expressly stated. Monthly subscriptions renew automatically until cancelled.

You agree not to use SDS services to:

• Violate any applicable law or regulation
• Transmit spam, malware, or any malicious code
• Infringe on the intellectual property rights of others
• Process fraudulent transactions through any SDS-configured payment system
• Attempt to gain unauthorized access to SDS systems or infrastructure

SDS reserves the right to suspend or terminate services immediately for violations of this section without refund.

SDS retains ownership of all proprietary tooling, templates, frameworks, and internal systems. Upon full payment, Client receives a non-exclusive license to use deliverables for the duration of the active subscription. Client-provided content (logos, copy, images) remains owned by the Client.

SDS integrates with third-party providers including Stripe, Google Analytics, OpenAI, Resend, and others. Your use of these services is subject to each provider's own terms. SDS is not responsible for third-party service outages, changes to pricing, or API deprecations beyond reasonable mitigation efforts.

To the maximum extent permitted by law, SDS's liability is limited to fees paid in the three months preceding any claim. SDS is not liable for indirect, incidental, consequential, or punitive damages.

Either party may terminate services with thirty (30) days' written notice. SDS may terminate immediately for material breach, non-payment, or acceptable use violations. Upon termination, Client data is exportable for 14 days after the final billing period.

These Terms are governed by the laws of the State of Texas, United States. Disputes shall be resolved through binding arbitration per the American Arbitration Association rules.

SDS may update these Terms at any time. Material changes will be communicated via email to the address on file. Continued use of services after notice constitutes acceptance.
